CSR Governance
The Board of Directors, supported by the duly constituted CSR Committee, shall provide strategic oversight of the Company’s CSR activities.
The CSR Committee shall:
- Recommend the Company’s CSR strategy, programmes and annual action plan.
- Recommend CSR expenditure to the Board.
- Review and monitor implementation of approved CSR programmes.
- Assess the effectiveness and impact of CSR initiatives.
- Periodically review the CSR Policy and recommend amendments, wherever necessary.
Implementation
CSR programmes may be implemented:
Directly by JSIW Infrastructure Pvt. Ltd. or Through eligible Trusts, Societies, Section 8 Companies or other implementing agencies, in accordance with applicable statutory requirements.
Preference shall, wherever appropriate, be given to communities and areas surrounding the Company’s project locations and business operations.
CSR Expenditure & Compliance
JSIW shall endeavour to allocate and utilize CSR expenditure in accordance with Section 135, Schedule VII and other applicable provisions of the Companies Act, 2013 and the Companies (Corporate Social Responsibility Policy) Rules, as amended from time to time.
The Company may undertake CSR expenditure beyond the statutory minimum where considered appropriate and aligned with its social-development objectives.
Monitoring & Impact
CSR programmes shall be periodically monitored to ensure:
- Effective utilization of allocated resources
- Compliance with approved objectives
- Transparency and accountability
- Sustainable and measurable community impact
- Continuous improvement in CSR performance
